PRESS RELEASE: It's Official - Disney Now Owns LucasFilm

We've obviously known about this for the past couple of months, but now it's finally official! Hands have been shaken and contracts signed; Disney owns Star Wars. Hit the jump to read the press release in full (including comments from Disney President Bob Iger).

BURBANK, Calif., December 21, 2012 – Continuing its strategy of delivering exceptional creative content to audiences around the world, Robert A. Iger, President and Chief Executive Officer of The Walt Disney Company (NYSE:DIS) announced today that Disney has completed its acquisition of Lucasfilm Ltd. LLC.

"We’re thrilled to welcome Lucasfilm to the Disney family," said Iger. "Star Wars is one of the greatest family entertainment franchises of all time and this transaction combines that world class content with Disney’s unique and unparalleled creativity across multiple platforms, businesses, and markets, which we believe will generate growth as well as significant long-term value."

Under the terms of the merger agreement, at closing Disney issued 37,076,679 shares and made a cash payment of $2,208,199,950. Based upon the closing price of Disney shares on December 21, 2012 at $50.00, the transaction has a total value of approximately $4.06 billion.

Lucasfilm’s assets include its massively popular Star Wars franchise, operating businesses in live action film production, consumer products, animation, visual effects, and audio post production, as well as a substantial portfolio of cutting-edge entertainment technologies. It operates under the names Lucasfilm Ltd. LLC, LucasArts, Industrial Light & Magic, and Skywalker Sound.

@AcidicHeart STAR WARS characters have been walking around the Disney Parks since the mid-80s, when STAR TOURS opened at Disneyland. And then later at Disney-MGM Studios (now Hollywood Studios) at Disney World. Hollywood Studios has held its popular Star Wars Weekends for several years now.

So Star Wars and Disney have pretty much been practicing for this merger for decades.

Congrats to George Lucas on completely gaming the tax system. After he donates "the majority of the proceeds" (meaning the cash only) to his own foundation, he'll walk away without having to pay tax on almost any of that. Then he gets to have half of that sale completely away from capital gains tax, and the rest he pays this year's lower rate on. Kudos to his tax lawyer, that's some sublimely brilliant tax dodging. But hey - at least some of that (whatever his foundation decides to give out after their operating costs and salaries) will go towards education. Seems fair considering all the things he would have helped fund had he actually paid taxes on it...
